Harbottle & Lewis advise MAMA Group on Angel Music Group acquisition

Media and entertainment lawyers, Harbottle & Lewis, have advised MAMA Group Plc on its 70% acquisition of Angel Music Group Limited from Neil Moffitt. The part-share, part-cash deal which completed on 12 June 2008 will enable MAMA Group to increase its investment in the music festival market and to further develop high quality music events.

Angel Music Group and its subsidiaries own some of the world's leading dance music and festival brands. Together with LN-Gaiety Holdings Limited, part of the Live Nation group of companies, it owns the rights to the award winning UK festival Global Gathering and the leading Welsh dance music festival Escape into the Park. It also owns several dance music club brands including Godskitchen which operates from the Air Nightclub in Birmingham.

Tim Parker, partner in the Corporate Practice, advised MAMA Group on the transaction and was assisted by Charles Lévêque, Jaron McVicar and Sarah Pons. David Scott and Louise Gordon provided advice relating to tax.

Tim Parker commented: "We have now assisted MAMA Group on a number of acquisitions in the past year during a time of rapid growth for the company which has seen it move into new areas of the music and entertainment industries, with a clear vision to develop a 360 degree business model".

Adam Driscoll and Dean James, Co-Chief Executive Officers of MAMA Group said: "We are delighted to be making this investment in the AMG Group, the operations of which perfectly complement those currently provided by MAMA. The acquisition presents a unique opportunity to increase the company's investment in the music festival market whilst also creating exciting opportunities to work with the shareholders and employees of the AMG Group to produce world class music events."
