Company Secretarial Assistant

We are seeking a company secretarial assistant to support to our Company Secretary in providing the full range of company secretarial services to our clients. The role also involves working as part of a corporate team, providing advice and assistance (internally and externally) in the context of corporate transactions and arrangements, such as corporate reorganisations, acquisitions and disposals, group expansion and listings.

The successful candidate should ideally be part/recently fully ICSA qualified individual. Some hands-on experience of corporate support work would be an advantage and a willingness to take on responsibility and handle their own caseload, as their work will involve working as a member of a team on larger transactions. Experience in working with charitable and non-profit distributing companies as well as a familiarity with public company law issues and the AIM market would also be useful.

As well as good technical skills, the successful candidate will need the right interpersonal skills, and commercial sense, both to work with internal teams and to relate well to clients. There will be substantial direct contact with clients.

Most of the firm’s partners are consistently recognised as leaders in their fields of practice, and the company/commercial group is no exception. The successful candidate should expect to work with all of the partners within the group who regularly undertake corporate work (Colin Howes, Mark Phillips, Tim Parker, Rhys Llewellyn and Tony Littner).

Recent work of the group includes:

  • Acting for MAMA Group plc on its defence of a hostile bid and the subsequent recommendation of the offer made by HMV.
  • Sale of a number of high profile indie TV production companies including Tiger Aspect (producers of Catherine Tate, Bean and the Blackadder series) to IMG Media and Objective Productions (producers of Peep Show, Derren Brown and The Real Hustle) to All3Media.
  • Advising United Agents (the literary and talent agency) on the implementation of a new shareholder structure and associated financing arrangements.
  • Acting for Channel 4 in relation to its joint venture with Emap plc to establish a music television business and its successful bid for the second national digital multiplex licence awarded by Ofcom in 2007.
  • Ongoing work for Virgin Unite which includes advising on the corporate governance of the charity and a variety of commercial issues.
  • Advised Comic Relief in relation to the proposed broadcast of the Comic Relief television programme in other jurisdictions and associated fundraising.
  • Advised Hemisphere Capital (the London-based partnership of Heather Killen, former SVP International Operations of Yahoo! Inc and currently a non-executive director of ITV plc) on the financing of digital channel Horse & Country TV including all legal aspects of the deal.
  • Acting for the Virgin Group in relation to the sale of 90 per cent of Virgin Books to The Random House Group, creating a partnership that will develop the Virgin Books brand on a global platform and provides for the worldwide use of the Virgin brand in the field of book, audio and digital publishing documenting the sale and ongoing shareholder arrangements.
