Liability for false/misleading statements in company reports

Where a company is required to produce a directors' report, directors' remuneration report or a summary financial statement, the Companies Act 2006 sets out that directors are potentially liable to the company (and not to shareholders or any other body of claimants) for untrue facts or omissions.
