Harbottle & Lewis has advised the majority shareholders of Inskin Media Limited, an ad-tech brand advertising business, on its sale to the fast-growing, pan-European digital entertainment and media platform, Azerion.
Specialising in multi-device, high-impact digital brand advertising, Inskin, based in the UK, with global activity and a presence in Germany, Australia, Singapore, the Ukraine and other territories, has partnered with 260 premium publishers worldwide, and has worked with over 1,000 brands, delivering campaigns to more than 2,000 websites, globally.
The acquisition of Inskin will further strengthen Azerion’s technology stack, and boost its advertising capabilities; its expertise will offer Azerion’s clients access to a wider range of scalable, high yielding and impactful advertising formats.
Harbottle & Lewis has a longstanding relationship with Inskin, advising over many years on IP; investment; fundraising; adtech; data; employment; share incentives; and property issues: its in-depth knowledge and experience advising clients in the technology, media, and advertising sectors has positioned it to provide a cohesive, full-service approach to the business.
Mark Phillips, partner (Corporate), and associate (Corporate) Michael Finch led the H&L team, with support from partner David Scott (Tax), senior associate Ed Lane (Share Incentives), partner Sacha Wilson (Technology and Data), associate Alex Gays (Corporate), and trainee solicitor Matteo de Maestro (Corporate).
Mark Phillips commented: “This transaction was completed in less than two weeks, compressing the resolution of complex issues, negotiation and finalisation of documentation required by the commercial demands of all parties. It is particularly gratifying to see Inskin evolve from a start up into a global business, at the cutting edge of the fast-moving adtech industry, and ultimately realising a successful exit for all its stakeholders. ”
On working with Harbottle & Lewis, Matthew Newcomb (CEO, at Inskin Media) said: “Harbottle & Lewis has partnered with Inskin over a decade, delivering high level legal expertise in an astute commercial manner, supporting the evolution of our business from investment to exit.”
